The Global Platform and the Artha Window are independent initiatives supported by Rianta Capital Limited ("Rianta"), an investment advisory to a family trust based in Mayfair, London. The team focus on appraising direct private equity investment opportunities for their clients. The clients of Rianta are a range of offshore entities from which the Singh family may benefit. The head of the family is Tom Singh, the founder of New Look.

This website ("Website") is owned by Rianta and operated as part of the Artha Initiative ("Artha").

Content

This Website is intended to provide general information regarding social investment opportunities undertaken by entrepreneurs who have chosen to position themselves in the social space. Sources of these opportunities may come from investors themselves, incubators at institutes of management or technology, community-based organisations (which may or may not be registered as affiliates of non-profit organisations in different countries, mostly India), or entrepreneur support organisations that we call 'brokers'. Reasonable efforts will be made to moderate and screen content however Artha shall not be responsible for the content of any due diligence report or similar material.

Please note that any content uploaded to specific deal profiles on the Main Pipeline will be visible to the entire invited investor network on the Website.

All users of the Artha Platform are bound to protect the privacy and confidentiality of all information (including information relating to deal flow) posted on the Website in accordance with the confidentiality provisions set out in these terms. Breaches of these confidentiality provisions may result in expulsion from the Artha community.

Registration and Cancellation

All areas of the Website will not be freely accessible and any information related to active deal flow will be in protected areas of the site, requiring passwords for access. Likewise, investor profile and activity information will be protected and secure, visible only to account owners and to their chosen contacts on the social network. You may be asked to complete a form of registration in order to access certain areas of the Website ("Restricted Areas"). No charge will be requested to obtain access to the Restricted Areas.(Please see the Fees and Expenses section for a breakdown of the costs of using the Website, specifically around the closure of due diligence contracts or investment transactions arising from information posted on the Website.)

Artha reserves the right to terminate your registration to the Restricted Areas and to restrict your access to the Website without notice, at any time.

You may cancel your registration with the Website at any time by sending an email to info@arthaplatform.com.

Any termination or restriction shall be without prejudice to any rights accrued to Artha up to the date of termination or restriction.

Operation of the Website

Artha reserves the right to suspend or terminate the operation of the Website at any time for the purposes of support and maintenance or to update the information contained on the Website. Artha is not obliged to give any notice of such termination or suspension.

Investing through Artha

All investors engaged in the network of the Website must register their details on the Website, and agree that any transactions comprised of due diligence or investments arising as a result of connections formed on the Website will be invoiced offline and between all parties involved in said transaction on the platform.

Artha is not a transactional platform in the sense that payments are executed through its system; all payments and investment actions must be handled offline, but made transparently so as to benefit all parties involved in a given due diligence 'share'.

Fees and Expenses

Artha incurs financial, administrative and other expenses associated with its operation as an originator of investment opportunities and network convener. To cover these costs, the below administrative fees are charged.

Artha will charge small transaction fees on each of the two types of transactions that may be completed offline as a result of connections formed on the Website.

Due Diligence

Where an investor (or an associate of an investor):

  • engages an organisation to carry out due diligence on a potential investment introduced to the investor via the Website the investor shall pay to Artha a fee equal to 2% of charges due in respect of such due diligence. This fee is payable to Artha within 30 days of completion of the due diligence;
  • makes an investment following an introduction via the Website the investor shall pay Artha a fee equal to 2% of the gross amount of the investment (the value of all consideration payable on completion plus all deferred payments). This fee is payable within 30 days of legal completion of the investment. Should any part of the investment be deferred that part of our fee that relates to the deferred payment shall be deferred and payable when the deferred payment becomes due.

Any activity on the Website by investors and 3rd party intermediaries resulting in a due diligence contract or completion of an investment is implicit acceptance that the deal has been originated through the Website and can be charged on as such. This is the case notwithstanding any previous knowledge of or contact with said investee entities, and is representative of commitment of all stakeholders to the value addition of the Website.

All fees collected will be allocated to the sustainability and continued operation of the Website.

Artha reserves the right to adjust these fees and percentages at any time on written notice in the future, as costs may dictate and the rates in force at the time a payment obligation is triggered shall apply.

Eligible Stakeholders

Artha will accept requests from individuals, private foundations, corporations, donor-advised funds, trusts and estates to partake in the deal sharing and network created by the Website, but reserves the right to control the growth and profile of the membership in its discretion. The community is formed on the basis of relationships, and generally it will not be possible for an entity to enter the network without prior contact with an existing member.

Expiry of Deals on the Platform

In the event that a project or company is listed for longer than twelve months without receiving any signal of interest in conducting due diligence, the project offering may "expire", in which case all brokers responsible for originally posting the opportunity will be notified.

Confidentiality

Each user agrees that it will not use, divulge or communicate to any person, except to its professional representatives or advisers or as may be required by law or any legal or regulatory authority, any confidential information concerning the business or affairs of any other user of the Website or of any member of the group of companies to which such user belongs or any investee entity which may have or may in future come to its knowledge and each user shall use its best endeavours to prevent the publication or disclosure of any confidential information concerning such matters.

Income Tax Consequences

All contributions to projects as a result of the enabling environment created by the Website for each country context may or may not generally qualify for an income tax deduction as a charitable contribution in the current tax year, subject to certain limitations and the location of the donor. The regulatory environment in each country will dictate the terms of this possibility.

It is the responsibility of each user to determine what tax rules and policies may apply to them; Artha does not accept any responsibility in any way for issues regarding taxation.

Disclaimers around Due Diligence

All investors that place funds in a company as a result of the network created by Artha acknowledge that the conclusions drawn by all due diligence reports and analysis (in any form, including documents, pdfs, Powerpoints, Excel documents, or media of any kind) posted by users are not recommendations of Artha. Accordingly, Artha shall not be liable to any user for any loss incurred as a result of reliance on such material.

These reports and analysis are purely informational, and shared by stakeholder peers on the Artha Platform in the spirit of collaboration and efficiency.

Warranties

Each user warrants that:

  • any material uploaded to the Website shall not infringe any intellectual property rights or any obligations of confidentially; and
  • in using the Website it shall act in a polite, courteous and law-abiding manner.

Each user shall indemnify and keep indemnified Artha its agents, employees, officers, subsidiaries and associated companies in full against all taxes, damages, expenses, costs, claims, proceedings or demands including legal and other professional expenses in respect of any breach of the above clause or any breach of the confidentiality obligations set out in these terms.

Limitation Of Liability

Nothing in these terms shall exclude or in any way limit the Artha's liability for fraud, or for death and personal injury caused by its negligence, or any other liability to the extent that it cannot be excluded or limited as a matter of law.

Subject to the clause above each user acknowledges and agrees that the Website is provided by Artha on an "as is" basis and Artha shall not accept any liability for any loss or damage suffered by you or any third party as a result of using the Website.

In the event that the exclusions set out above are found by a court of competent jurisdiction to be unenforceable the following provisions shall apply:

  • Artha shall not be liable under or in connection with these terms for loss of income, loss of business profits or contracts, business interruption, loss of the use of money or anticipated savings, loss of information, loss of opportunity, goodwill or reputation, loss of, damage to or corruption of data or any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise;
  • subject to the sub-clause above Artha’s maximum aggregate liability to each user under or in connection with these terms, whether in contract, tort (including negligence) or otherwise, shall be limited to the fees paid by the user in the 12 months proceeding the event giving rise to the liability.

Any condition, warranty, representation or other term which might otherwise be implied into, or incorporated in, these terms is excluded to the fullest extent permitted by law.

Intellectual Property Rights

The works of authorship contained on the Website, including but not limited to, all copyright, designs, trademarks, logos, data, text and images, whether registered or unregistered, are the intellectual property rights of Artha, their affiliates or third parties who have supplied information to Artha, and are protected by the laws of England, including international intellectual property laws, treaties and conventions.

Artha reserves the right to take legal action in respect of any infringement of these works of authorship or information contained on the Website, including any legal action in respect of any reproduction, copying (other than in accordance with the terms of use), distribution, framing, uploading to a third party, publication, adaptation, broadcasting, public performance or other communication to the public of the works of authorship or information contained on the Website without the prior written consent of Artha.

This Website is created, hosted, maintained and controlled in the UK and as such you agree that the laws of England and the jurisdiction of the English courts govern these terms, any disclaimers, copyright and use statements contained in the Website, and any legal matter resulting from the use or inability to use this Website, without giving effect to any principle of conflict of laws. Notwithstanding the foregoing, Artha may seek recourse in any jurisdiction worldwide in order to restrain the unlawful use of any of the material contained in the Website.

No provision in these terms shall be enforceable by a third party under the Contracts (Rights of Third Parties) Act 1999.
